Baseline data-processing terms for client work when incorporated into a signed agreement.
This Data Processing Addendum is a website-published baseline. It applies only when incorporated into a signed agreement with AMBER FALCON LLC. It does not create a standalone services contract by itself.
For most client projects, the client is the controller or business for its customer, prospect, employee, or website-user data. Amber Falcon acts as a processor, service provider, or contractor when processing that data solely to provide services under a signed agreement. For our own website inquiries and business operations, Amber Falcon acts as an independent controller/business.
We process client personal data only as instructed in the signed agreement, statement of work, this DPA, documented client instructions, or as required by law.
Personnel and contractors with access to client personal data must be bound by confidentiality obligations. We use reasonable technical and organizational safeguards appropriate to the nature of the project and the data involved.
We may use subprocessors to provide services. We remain responsible for subprocessors as required by the signed agreement and will maintain a public or client-specific subprocessor list.
Taking into account the nature of processing and information available to us, we will reasonably assist clients with data subject requests, security obligations, impact assessments, and regulator inquiries where required by applicable law and the signed agreement.
We will notify affected clients without undue delay after confirming a security incident involving client personal data processed by us, and we will provide available information reasonably needed for the client to assess legal notification obligations.
At the end of services, we will return or delete client personal data as described in the signed agreement, unless retention is required by law, backups, dispute needs, or legitimate recordkeeping obligations.
If client personal data subject to GDPR, UK GDPR, or Swiss data protection law is transferred internationally, the parties will use appropriate transfer mechanisms such as standard contractual clauses or another lawful safeguard where required.
